The candidate will be responsible for supporting commercial transactions for the company and its subsidiaries and will require interactions with customers as well as a broad spectrum of internal functions, including product groups, sales, services, operations and finance. Will provide quality legal services using the highest professional standards of practice while satisfying the legal needs of a global company.Lead the drafting, negotiating and review of agreements relating to sales, licensing, purchasing, distribution, consulting, confidentiality and other business and legal terms. Effectively anticipate, provide timely evaluation of, and propose mitigation strategies and advice to management relating to potential risks in contractual, regulatory, revenue recognition, compliance, financial and legal areas. Support and/or lead in developing, implementing, improving and reviewing legal and compliance processes and procedures, including training. The candidate should have a B.A. or B.S. degree from four-year college or university and J.D. degree from a law school accredited by the ABA. Should have admission to and good standing in a State Bar (admission in Arizona or eligible for in-house registration). Must have 10+ years of experience in sales and procurement transactions such as distributor agreements, value added reseller agreements and services agreements and in negotiating and drafting complex business ransactions. A combination of law firm training and in-house experience is preferred. Experience with revenue recognition and other accounting issues that arise in commercial transactions is a plus.
